ZINOpreneur Education SeriesSessions are scheduled over a casual lunch in an intimate setting where the entrepreneurs can connect with peers. The series features speakers covering topics addressing challenges that entrepreneurs face. Guests may attend one ZINOpreneur session prior to becoming a ZINOpreneur. Membership is required for sessions beyond that. Schedule:The Series A Term SheetsIn this session we explore the provisions of a Series A term sheet from the entrepreneur's perspective. Using examples from the presenter's experience, we will cover all of the basic features of a Series A financing round, with emphasis on the following questions: (1) How should a company think about Series A terms in order to maximize long-term value for its founders? (2) Where can the company and its investors align their incentives to reach mutually beneficial terms? (3) What are the consequences of agreeing oi particular investor-favorable terms at Series A? Legal Issues for Start-UpsLegal Issues for Start-Ups will cover the legal issues faced by entrepreneurs as they make decisions relating to the formation of their company, the relationships among founders and the participation of other early partners and stakeholders. The session will provide examples of how good decisions made at the time of formation can save money over the long term and smooth the way for future financing and exit transactions. Topics will include choice of legal entity, corporate formation, stockholders and voting agreements, protection of intellectual property, options plans, and capitalization issues. Convertible NotesThis session will focus on the basic terms, uses and pitfalls of a typical “next equity” convertible note. In additional to the typical terms and features of convertible notes, we will discuss the various considerations that factor into a decision as to when convertible notes are appropriate and when other structures, such as angel style preferred stock, would be a better alternative.
